1. Acceptance of Terms

By creating an account or using SakuDesk ("the Service"), you agree to be bound by these Terms of Service ("the Terms"). If you do not agree to these Terms, you must not use the Service.

These Terms constitute a legally binding agreement between you and SakuDesk Inc. ("SakuDesk", "we", or "us") governing your use of the Service.

2. User Accounts

To use SakuDesk, you must create an account with a valid email address. You are responsible for maintaining the security of your account and for all activities that occur under your account.

You must be at least 18 years old to create an account. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

You agree to provide accurate and complete information when creating your account and to keep that information up to date.

3. Acceptable Use

You agree to use SakuDesk only for lawful business purposes. You will not:

Use the Service to store, process, or transmit any content that is illegal, defamatory, infringing, or otherwise harmful.

Attempt to gain unauthorized access to other users' data, the Service's infrastructure, or any systems connected to the Service.

Use the Service to send spam, phishing emails, or any unsolicited communications.

Reverse engineer, decompile, or attempt to extract the source code of the Service.

Use the Service in a manner that could disrupt, overload, or impair the Service's servers or infrastructure.

4. Intellectual Property

SakuDesk and all its components, including the software, design, branding, and documentation, are the intellectual property of SakuDesk Inc. You may not copy, modify, distribute, or create derivative works from any part of the Service without our written consent.

You retain all ownership rights to the content you upload or create within SakuDesk, including client information, proposals, contracts, project data, and invoices. We do not claim ownership of your business data.

By using the Service, you grant SakuDesk a limited license to process your data solely for the purpose of providing and improving the Service.

5. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. The Privacy Policy is incorporated into these Terms by reference.

6. Subscription and Billing

SakuDesk offers a Free Plan and a Pro Plan. The Free Plan is available at no cost with usage limits. The Pro Plan is available for $7 per month.

Subscription payments are processed through Paddle. You authorize us to charge the applicable subscription fee to your designated payment method on a recurring monthly basis until you cancel.

You may cancel your subscription at any time through the billing settings or Paddle customer portal. Cancellation takes effect at the end of the current billing cycle.

We reserve the right to change our pricing at any time. Price changes will take effect at the start of your next billing cycle following at least 30 days' notice.

7. Account Termination

You may delete your account at any time by contacting us. Upon deletion, all your business data will be permanently removed within 30 days.

We reserve the right to suspend or terminate your account if you violate these Terms, if your account remains inactive for an extended period, or if we are required to do so by law.

Upon termination, your right to use the Service ends immediately. We are not liable for any loss of data resulting from account termination.

8. Limitation of Liability

SakuDesk is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not guarantee that the Service will be uninterrupted, error-free, or secure.

To the maximum extent permitted by law, SakuDesk Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, revenue, or profits, arising out of or related to your use of the Service.

Our total aggregate liability for any claim arising from these Terms or your use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or $50, whichever is greater.

9. Changes to These Terms

We may modify these Terms from time to time. When we do, we will revise the date at the bottom of this page and notify you of material changes through the application or via email.

By continuing to use SakuDesk after the changes take effect, you agree to the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and delete your account.
